Terms of Service

These Terms govern access to and use of the XENIOS Hospitality Management OS ("the Service") provided by GIZMOIOT INNOVATIONS LLP ("XENIOS", "we", "us"). By accessing the Service, you ("Customer", "you") agree to these Terms.
1. The Service
XENIOS provides software for restaurants, cafes and multi-outlet F&B brands, including point-of-sale, kitchen tickets, waiter app, customer QR ordering, inventory, reporting and related features. The Service is delivered as a combination of locally-installed software, cloud services, and (optionally) hardware sold as a bundle.
2. Subscription & fees
- Plans are billed annually in advance. Prices are listed at xenios.in/pricing and are exclusive of 18% GST.
- Fees are non-refundable except under the explicit 14-day money-back guarantee for Starter and Growth plans.
- Hardware and migration services, when purchased, are billed separately as one-time fees.
- We may revise pricing for subsequent renewal periods with 30 days' notice.
3. Customer data
All operational data generated through the Service (menu, orders, payments, inventory, staff records, customer information) is owned by you. We process it on your behalf and never sell it. Our handling of personal data is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful activity or to violate any rights of any party.
- Attempt to reverse engineer, decompile or otherwise extract source code of the Service except as permitted by law.
- Resell, rent or sublicense the Service without our written permission.
5. Service availability
The local-laptop component of the Service is designed to function offline. Our cloud component aims for 99.9% uptime, excluding scheduled maintenance. We will give reasonable advance notice of planned maintenance windows.
6. Termination
You may terminate your subscription at any time; the Service remains available until the end of the paid period and your data is exportable throughout. We may suspend or terminate access for breach of these Terms with reasonable notice.
7. Liability
To the maximum extent permitted by applicable law, our aggregate liability for any claim arising from the Service is limited to the fees you paid us in the twelve months preceding the claim. The Service is provided "as is" without warranties beyond those required by law.
8. Governing law
These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Pune, Maharashtra.
